Terms of use

These Terms of Use (hereinafter Terms) govern the relationship between LinkSays Inc (registered at 2, Boulevard de la Foire, L-1528 Luxembourg; hereinafter LinkSays) and Publishers using LinkSays services.

  1. General Provisions

    1. These Terms set forth the conditions under which Publishers may use LinkSays services provided through https://linksays.com
    2. By registering or using the services, Publishers unconditionally accept these Terms.
    3. Publishers must be at least 18 years old to register.
    4. Use of LinkSays is entirely voluntary and free of charge. LinkSays reserves the right to deny or terminate a Publisher's participation.
    5. Publishers must accurately provide and maintain their registration information in their LinkSays Cabinet.

  2. Definitions

    • Affiliate Networks: Platforms managing multiple Brands and Merchants.
    • Brands and Merchants: Entities offering goods/services advertised via LinkSays.
    • Advertising Programs: Promotional campaigns offered by Brands, Merchants and Affiliate Networks.
    • Publishers: Individuals/entities using LinkSays to monetize their digital properties (Ad Spaces).
    • LinkSays Cabinet: Secure interface provided by LinkSays for Publishers to manage tools, review performance and access reports.
    • Referral Links: Links provided by LinkSays to direct Users to Brands' or Merchants' sites.
    • Target Actions: User actions such as purchases, registrations, clicks or leads tracked for Publisher rewards.

  3. Service Use

    1. Publishers must register at https://linksays.com and await approval from LinkSays.
    2. Approved Publishers receive access to Referral Links and related LinkSays services.
    3. Publishers may only use LinkSays tools on approved Ad Spaces.

  4. Publisher Responsibilities

    1. Publishers guarantee accurate registration details and must keep them updated.
    2. Publishers must securely maintain their login credentials.
    3. Publishers represent they have full rights to publish and monetize content on their Ad Spaces.
    4. Publishers agree to comply with all applicable laws and regulations, including data protection and privacy laws.
    5. Publishers shall not manipulate or fraudulently influence Target Actions.
    6. Publishers must promptly respond to LinkSays' requests for traffic or performance data verification.

  5. Restrictions

    1. Publishers shall not:
      • Simulate fraudulent or misleading Target Actions.
      • Violate third-party intellectual property or trademarks.
      • Employ cookie-stuffing, cloaking or other deceptive practices.
      • Publish offensive, harmful, illegal or inappropriate content.
      • Operate multiple accounts for a single Ad Space without prior consent.
      • Perform Target Actions by methods or means that violate current law, the Agreement or these Terms.
      • Simulate Target Actions by entering knowingly incorrect and/or non-existent data or someone else’s data unbeknownst to their owner when ordering goods or services.
      • Use advertising methods that force a visitor to perform actions by deception, blackmail or any other actions that violate the visitor’s freedom of choice.
      • Use the data of a Brand or a third party protected by a registered trademark, copyright, other legally registered rights for purposes other than those stated in these Terms, including using trademarks in keywords without the permission of the trademark owner.
      • Use any practice of bidding on branded terms or branded keywords through search engine marketing.
      • Use any cookie stuffing technology and/or types of cookie stuffing (cookie dropping).
      • Register and/or use domains similar to that of the Brands’ website(s) for promotion.
      • Use the registered Social Media account with a specific declared traffic source for attracting a different type of traffic.
      • Delete an account with a negative balance and/or debt to LinkSays.
      • Offend common decency, make statements or choose usernames that violate the religious feelings of others or are racist or discriminatory.
      • Use, post, publish and/or link to insulting or defamatory content on any third-party website, affecting other participants or third parties.
      • Use, post or publish content that is political, immoral, pornographic, morally reprehensible, offensive, violent, violence glorifying, sexist, extremist content or content violating youth protection laws. It is also prohibited to link to corresponding material on third-party websites or to advertise or distribute such content.

  6. Publisher Rewards and Payment Terms

    1. Publishers earn rewards based on successfully performed and verified Target Actions.
    2. Payments are processed monthly once a minimum threshold of $20 is reached.
    3. Payments depend on receiving funds from Brands, Merchants or Affiliate Networks. LinkSays is not liable for non-payment by these parties.
    4. Publishers are responsible for their taxes and bank transaction fees.

  7. Chargebacks and Adjustments

    1. Brands or Merchants may reverse payments (Chargebacks) for invalid or fraudulent Target Actions.
    2. Chargebacks will reduce Publishers’ rewards accordingly without appeal.

  8. Data Protection and Privacy

    1. Publishers must comply with GDPR and applicable data protection laws, clearly disclosing cookie usage and obtaining user consent.
    2. Publishers agree to implement appropriate data security measures.

  9. Confidentiality

    1. Both parties agree not to disclose confidential information obtained during cooperation.
    2. Confidentiality obligations survive for 5 years post-termination.

  10. Intellectual Property Rights

    1. LinkSays grants Publishers a non-exclusive, revocable right to use provided services and tools.
    2. Publishers may not transfer, sublicense or alter LinkSays’ intellectual property.

  11. Liability

    1. LinkSays is not liable for indirect, consequential or incidental damages.
    2. Liability for damages is limited to direct damages arising from gross negligence or intentional misconduct.

  12. Modification of Terms

    1. LinkSays may modify these Terms at any time, notifying Publishers via email or LinkSays Cabinet.
    2. Continued service use post-modification indicates acceptance of changes.

  13. Termination

    1. Either party may terminate this agreement at any time by written notice.
    2. On termination, Publishers must cease using LinkSays services and remove associated tools from Ad Spaces.

  14. Communication

    1. Official communications must be sent via email to [email protected].

  15. Governing Law and Jurisdiction

    1. These Terms are governed by Luxembourg law.
    2. Disputes shall be subject to the exclusive jurisdiction of the courts of Luxembourg.
